BEFORE USING PEERPLY'S SERVICES READ THESE TERMS OF USE ("TERMS") CAREFULLY. IT IS A LEGAL CONTRACT GOVERNING YOUR USE OF PEERPLY'S WEBSITE AND SERVICES. BY USING THE PEERPLY PLATFORM, REGISTERING AN ACCOUNT, ACCESSING FEATURES SUCH AS RESOURCE MANAGEMENT, PARTNER COLLABORATION, AI ASSISTANT, CV PARSING, REPORTS, ENGAGEMENT MANAGEMENT, OR ANY OTHER FUNCTIONALITY PROVIDED THROUGH THE PLATFORM (COLLECTIVELY "PEERPLY" OR THE "SERVICES"), YOU, YOUR HEIRS, AND ASSIGNS (COLLECTIVELY, "YOU" OR "YOUR") AGREE TO BE BOUND BY THESE TERMS AND PEERPLY'S PRIVACY POLICY (COLLECTIVELY, THE "TERMS"). PLEASE NOTE, THESE TERMS CONTAIN A DISPUTE RESOLUTION PROVISION THAT AFFECTS YOUR RIGHTS.
The mission of peerply is to connect companies for peer-to-peer resource sharing and collaboration. Our platform enables companies to manage their IT resources, find and engage resources from partner companies, schedule meetings, and streamline the engagement process. The terms "we", "us", "our" refer to peerply, operated by PlezIT Solutions. The terms "you", "users", or "companies" refer to users who visit or use the peerply platform ("Platform") and/or contribute content to peerply.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to the Terms. In that case, the terms "you" or "your" shall also refer to such entity and its affiliates, as applicable. If you do not have such authority, or you do not accept all of these Terms, do not use the Services.
We reserve the right at any time, at our sole discretion, to change or otherwise modify the Terms. Your continued access to or use of the Services signifies your acceptance of the updated or modified Terms.
We retain the right at our sole discretion to deny access to anyone to the Services we offer, at any time and for any reason, including, but not limited to, for violation of these Terms.
You must be 18 years of age or older in order to use the Services, including to register for an account or use any features of the Platform.
As part of your use of the Services, you will create a peerply account. You are responsible for your account and agree to provide, upon registration, and at all times maintain, accurate, current, and complete information. peerply reserves the right, in its sole discretion, to refuse to keep accounts for, or provide Services to, any individual or company. peerply reserves the right to suspend or terminate your account if any information provided during the registration process or at other times proves to be inaccurate, not current, or incomplete.
You are responsible for ensuring the confidentiality and security of your account information, including your username and password. You will immediately notify peerply of any unauthorized use of your account. peerply cannot and will not be liable for any loss or damage arising from your failure to properly comply with this section.
As a condition of your use of the Services, you agree to:
peerply offers subscription plans (e.g., Starter, Professional, Business) that provide varying levels of access to features and usage limits. By subscribing to a paid plan, you agree to pay the applicable fees as set forth at the time of purchase.
Each subscription plan includes specific limits on the number of resources, partners, users, CV parses, AI messages, and engagements. Usage beyond your plan's limits requires an upgrade to a higher plan. Plan features such as full reports, CSV export, and Zoom integration are available only on qualifying plans.
If your subscription plan expires and is not renewed, your account will be automatically downgraded to the Starter (free) plan. Upon downgrade, your existing data will be preserved, but you will be subject to the Starter plan's feature limitations and usage limits. You will not be able to create new resources, partners, or engagements beyond the Starter plan limits until you upgrade.
You must provide a valid payment method as a condition of subscribing to a paid plan. By subscribing, you authorize peerply to charge you a recurring subscription fee as set forth in your subscription agreement. Failure to pay in a timely manner may result in the suspension or downgrade of your subscription.
peerply reserves the right to modify pricing for any subscription plans. We will provide reasonable notice of any price changes. Your continued use of the Services after a price change constitutes your acceptance of the new pricing.
The Services enable you to provide, submit, upload, or otherwise make available content such as resource profiles, company information, CV documents, engagement details, messages, and other content (collectively, "User Content").
You acknowledge and agree that you are solely responsible for all User Content you submit. Any User Content you submit must be accurate and up to date. You agree that you have all required rights to submit such User Content without violating any third-party rights, including but not limited to intellectual property rights, privacy rights, and employment agreements.
When uploading CV documents or resource profiles, you represent that you have obtained all necessary consents from the individuals whose personal data is contained in such documents. You are responsible for ensuring compliance with applicable data protection laws, including GDPR where applicable.
peerply provides AI-powered features including CV parsing and an AI chat assistant. These features use artificial intelligence to process and analyze data. You acknowledge that AI-generated outputs may contain inaccuracies and should be reviewed before use. peerply does not guarantee the accuracy, completeness, or reliability of AI-generated content.
When you submit User Content on or through your use of the Services, you grant us a worldwide, non-exclusive, royalty-free, transferable and sub-licensable license to use, store, process, reproduce, and display such User Content solely for the purpose of providing, maintaining, and improving the Services. This license continues for a commercially reasonable period of time after you delete or remove User Content from the Services, solely for backup, archival, and disaster recovery purposes.
peerply facilitates the process of resource sharing between partner companies. Any engagement between you and any partner company is a private arrangement between the parties involved. peerply is not a party to any such engagements and does not guarantee results. peerply recommends that companies formalize engagements through appropriate legal contracts reviewed by respective legal counsel.
peerply will not be liable for any issues arising between companies in connection with engagements, including but not limited to disputes regarding resource quality, payment, performance, or contract terms.
In using the Services, you agree you will not, nor will you assist or encourage others to:
As between you and peerply, you own the User Content you submit. peerply owns all content other than User Content, including all features, graphics, design, code, and all other components of the Services. The Services are protected by copyright, trademark, and other laws. Except as expressly provided in these Terms, peerply and its licensors exclusively own all right, title, and interest in and to the Services, including all associated intellectual property rights.
All trademarks, service marks, logos, trade names, and any other proprietary designations of peerply used herein are trademarks or registered trademarks of peerply and may not be copied, imitated, or used, in whole or in part, without prior written permission.
Any feedback about the Services, such as suggestions for corrections, updates, changes, or modifications to the Services will be the property of peerply and you hereby assign any rights in such feedback to peerply, without payment to you.
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WE PROVIDE THE SERVICES AND ALL INFORMATION CONTAINED THEREIN ON AN "AS IS" AND "AS AVAILABLE" BASIS WITH ALL FAULTS, WITHOUT WARRANTY OF ANY KIND, AND YOUR USE IS AT YOUR SOLE RISK.
PEERPLY DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, WITH RESPECT TO THE SERVICES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. THE SERVICES MAY INCLUDE INACCURACIES OR ERRORS. PEERPLY DOES NOT GUARANTEE THE ACCURACY OF ANY INFORMATION ON THE SERVICES.
PEERPLY DOES NOT GUARANTEE THAT THE SERVICES WILL FUNCTION WITHOUT INTERRUPTION OR ERRORS. THE OPERATION OF THE SERVICES MAY BE INTERRUPTED DUE TO MAINTENANCE, UPDATES, OR SYSTEM OR NETWORK FAILURES. PEERPLY DISCLAIMS ALL LIABILITY FOR DAMAGES CAUSED BY ANY SUCH INTERRUPTION OR ERRORS IN FUNCTIONING.
IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SERVICES, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF FIRST USE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PEERPLY BE LIABLE TO YOU OR ANY THIRD-PARTY FOR ANY LOST PROFITS, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER OR DEVICE FAILURE, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF PEERPLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM THESE TERMS WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.
You agree to indemnify, defend, and hold peerply harmless from and against any and all third-party claims, liabilities, demands, settlements, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to (1) your failure to comply with these Terms, (2) your User Content, or (3) your use of the Services or any activity in which you engage on or through peerply.
These Terms shall be governed by the laws of the Republic of Serbia, regardless of your country of origin or where you access peerply. You and peerply agree that all disputes arising out of or related to these Terms shall be resolved by a competent court in Belgrade, Serbia, except as otherwise agreed by the parties.
peerply may include links to or integrations with third-party services (such as Zoom for video meetings). You are responsible for evaluating whether you want to use such third-party services. peerply is not responsible for and does not endorse any content, services, or products of third-party providers. Your use of third-party services is subject to their own terms and privacy policies.
These Terms constitute the entire agreement between you and peerply regarding the Services and supersede all prior agreements and understandings. If any provision of the Terms is found to be illegal, void, or unenforceable, the remaining provisions will not be affected.
Our failure to act with respect to a breach of the Terms by you or others does not waive our right to act with respect to that breach or subsequent breaches.
You may not assign or delegate any rights or obligations under the Terms. We may freely assign or delegate all rights and obligations under the Terms without notice to you.
